1. 기업지배구조 규칙 4350, 4351, 4360 + 미국증권위원회(SEC)의 마켓플레이스 규칙 준수

 

2. 상장당시 입찰가격은 $4.00이상 (조건충족시 $3 또는 $2가능)

 

3. 일반적으로 3~4인의 시장조성자 필요

 

4. 상장시 1250000개 상장주식 보유필요 (임원,이사 또는 회사지분 10%를 초과하는

수익적 소유자가 보유한 주식제외)

 

5. 100주이상 보유 450명, 2200명의 총주주수 또는

 

지난 12월간 거래량이 110만인 총주주 550명이상필요

 

6. 유형과 규모에따라 $5000~$25000 신청수수료 부과

 

7. 발행 주식수에 따라 $100000~$150000 수수료

 

8. 회사에따라 기타수수료 필요

9. 기준소득 : 이전 3년 총 세전수입이 $1100만/2년 총소득 $220만 및 3년내내 순손실 없어야함

 

10. 현금 흐름이있는 자본화 : 지난 3 회계년도동안 최소 총 현금흐름 2750만달러이상 & 마이너스 현금흐름 없어야함, 지난 12개월간 시총은 최소 5억 5천만달러이상, 이전회계연도 수익은 최소 1억 1천만달러이상

 

11. 수익이 있는 자본 : 12개월간 평균 시총 9억 5천만달러이상, 이전회계연도 수익 9천만달러이상인경우 10번 조건 제외가능

- Conditions of listing-

​

1. Corporate Governance Rules 4350, 4351, 4360 + Marketplace Rules of the US Securities Commission (SEC)

2. The bid price at the time of listing is more than $4.00 (If the conditions are met, $3 or $2 is possible)

3. In general, three to four market creators are required

4. When listed, over 1250000 listed stocks are required to be held (more than 10% of executives, directors, or company shares, Exclude shares held by profitable owners)

5. 450 people(more than 100 stock hold), 2,200 total shareholders or more than 550 total shareholders with 1.1 million transactions in December

6. Application fee of $5,000 to $25,000 depending on type and size

7. $100000 to $150000 commission depending on the number of shares issued

8. Other fees are required depending on the company

9. Base income: Total pre-tax income for the previous three years is $11 million / total income for two years $2.2 million and no net loss within three years

10. Capitalization with cash flow: Minimum total cash flow of $27.5 million & no negative cash flow over the past three fiscal years, market capitalization of at least $550 million over the past 12 months, and revenue of at least $110 million over the previous fiscal year

11. Capital with profits: 10 conditions can be excluded if the average market capitalization for 12 months is more than $950 million and the previous fiscal year's revenue is more than $90 million

12. Equity assets: If the total assets of $80 million or more and shareholder capital of $55 million or more, the market capitalization of condition 10 can be reduced to $160 million and other conditions can be removed

 

- NASDAQ rating-

Nasdaq-CM (Capital market): Listing requirements are easier than those of companies with high market capitalization

Nasdaq-GM (Global Market): Medium-sized stock, NASDAQ's strict financial, liquidity requirements and
